1. Agreement and definitions
These Terms & Conditions (“Terms”) form a binding agreement between WarpTasks (“WarpTasks”, “we”, “us” or “our”) and the individual or organisation accessing the Service (“Customer”, “you” or “your”). “Service” means the WarpTasks website, company workspaces, task-management functions, installable web application, Android WebView, notifications, subscription features and related support. “Authorised User” means a person permitted by a Customer to access its workspace. “Customer Data” means information submitted to or generated within a Customer workspace.
If you do not agree, do not access or use the Service. The Privacy Policy forms part of these Terms.
2. Eligibility and authority
You must be legally capable of entering into this agreement. If acting for an organisation, you confirm that you are authorised to accept these Terms, purchase subscriptions, provide instructions and manage users on its behalf. WarpTasks is intended for lawful business and workplace use and is not a consumer file-storage service or emergency communication system.
3. Accounts, verification and roles
- Registration information must be complete, current and accurate. Business email verification may be required before workspace access.
- Credentials are personal and must not be shared. You are responsible for safeguarding passwords, devices and recovery channels.
- Company administrators control workspace users, roles, tasks, clients, settings and access. Actions taken through administrator accounts are treated as authorised Customer instructions.
- Employees invited by a Customer must use the Service only for that Customer’s authorised purposes.
- You must notify info@warptasks.com promptly of suspected unauthorised access.
WarpTasks may require password changes, suspend compromised sessions, apply rate limits or request additional verification to protect the Service.
4. Description and licence to use the Service
Subject to these Terms and payment of applicable fees, WarpTasks grants the Customer a limited, non-exclusive, non-transferable, revocable right during the subscription term to permit its Authorised Users to access the Service for internal business operations.
The Service may include task creation and assignment, employee and client management, categories, approvals, progress tracking, comments, attachments, reports, reminders, activity logs, notifications, billing and administrative controls. Features may differ by plan, device, browser, location or technical availability.
5. Trials, plans and subscriptions
Eligible new companies may receive the trial period displayed at registration, currently 14 days unless otherwise stated. One trial may be allowed per Customer or related organisation. We may refuse, shorten or discontinue trial access where we reasonably detect duplication, abuse, fraud or technical risk.
Paid plans are offered with the prices, billing cycles, user limits and features displayed at purchase. Unless expressly stated otherwise, subscriptions renew automatically for the selected billing cycle until cancelled. The Customer authorises recurring charges through Razorpay according to the selected plan and applicable mandate.
User limits include active workspace users and may also reserve capacity for pending invitations. Attempts to exceed plan limits may be blocked until users are removed or the plan is upgraded.
6. Payments, invoices and taxes
- Prices are displayed in Indian rupees unless stated otherwise and may exclude GST or other applicable taxes.
- Payments and recurring mandates are processed by Razorpay and participating financial institutions under their own terms.
- You authorise WarpTasks and Razorpay to charge the applicable subscription amount, taxes and authorised adjustments.
- You must keep billing and payment information accurate and ensure sufficient authority and funds.
- A payment is considered complete only after confirmed through the payment provider and reconciled by WarpTasks.
WarpTasks does not receive or store complete card numbers, CVV values, UPI PINs or internet-banking credentials. Payment-provider downtime or rejection may affect activation or renewal.
7. Upgrades, downgrades and price changes
Plan changes may take effect immediately or from the next billing cycle as shown during the change. Upgrades may produce prorated or additional charges; downgrades may reduce features, limits or storage and may take effect at renewal. The Customer must reduce usage below the new plan limits before a downgrade where required.
We may change plan prices or packaging prospectively. Existing paid Customers will receive reasonable notice where practicable, and a price change will generally apply from a future renewal unless law or a specific offer permits otherwise.
8. Cancellation, renewal and refunds
A Customer may request cancellation through available billing controls or by emailing info@warptasks.com. Unless otherwise shown, cancellation takes effect at the end of the current paid billing period and does not erase payment obligations already incurred.
Subscription fees are generally non-refundable once a billing period begins, except where required by applicable law, a duplicate or demonstrably erroneous charge occurred, or WarpTasks expressly agrees otherwise. Failure to use the Service, removal of users, or cancellation during a billing period does not automatically create a refund.
Approved refunds are returned through the original payment route where practicable and may take the payment provider or bank’s standard processing time. Trial users are not charged unless they authorise a paid subscription.
9. Acceptable use
You and Authorised Users must not:
- Use the Service unlawfully, fraudulently, deceptively or to violate another person’s rights.
- Upload malware, exploit code, unlawful content, abusive material or information you lack permission to process.
- Probe, scan, bypass or interfere with security, access controls, rate limits, tenant isolation or payment validation.
- Reverse engineer, copy, scrape, frame, resell, sublicense or commercially exploit the Service except as expressly permitted.
- Share accounts, impersonate others, falsify identity or payment information, or attempt unauthorised access.
- Send spam, unsolicited invitations or excessive automated requests.
- Use WarpTasks to make solely automated decisions producing legal or similarly significant effects without appropriate human review and lawful safeguards.
- Upload highly sensitive credentials, financial authentication secrets, government identification or health information unless necessary, lawful and appropriately protected.
We may investigate suspected violations and restrict activity reasonably necessary to protect users, infrastructure and legal compliance.
10. Customer Data and workplace administration
The Customer retains its rights in Customer Data. The Customer grants WarpTasks a worldwide, non-exclusive licence during the relevant retention period to host, copy, transmit, display, back up and otherwise process Customer Data solely to provide, secure, support and improve the Service, comply with law and follow authorised instructions.
The Customer represents that it has all rights, notices, permissions and lawful grounds needed to submit and process Customer Data, including employee and client information. The Customer is responsible for data accuracy, role assignment, internal policies, employment-law compliance, responses to its personnel and keeping independent copies of critical records.
WarpTasks does not become an employer, manager, agent or party to employment or client relationships merely by providing software. Task records, performance indicators and activity logs should be interpreted by authorised humans in context.
11. Privacy and security
Our handling of personal data is described in the Privacy Policy. The Customer must provide appropriate privacy information to its Authorised Users and configure the Service consistently with applicable law. Each party will use reasonable measures to protect information within its control.
Security incidents should be reported promptly to info@warptasks.com. Customers must not publicly disclose suspected vulnerabilities before allowing reasonable time for investigation and remediation.
12. WarpTasks intellectual property
WarpTasks and its licensors retain all rights in the Service, software, interface, designs, documentation, branding, logos, workflows and improvements. No ownership transfers to the Customer. Feedback may be used without restriction or payment, provided we do not identify the contributor without permission.
“WarpTasks” and associated marks may not be used in a manner suggesting endorsement or ownership without written permission.
13. Third-party services and links
The Service relies on or links to third-party services such as Razorpay, hosting infrastructure, SMTP providers, browser services and app platforms. Their services are governed by their own terms and privacy practices. WarpTasks is not responsible for independent third-party systems, outages, decisions or content, although we will use reasonable care in selecting and integrating providers.
14. Availability, maintenance and changes
We aim to provide a reliable Service but do not guarantee uninterrupted or error-free availability. Access may be affected by maintenance, security events, third-party failures, internet conditions, force-majeure events or changes required by law. We may modify, replace or discontinue features, normally with reasonable notice where a change materially reduces core paid functionality.
Preview, beta or experimental features may be changed or withdrawn at any time and are provided without additional warranty.
15. Suspension and termination
We may suspend or restrict access where fees are overdue, a subscription is pending or halted, plan limits are exceeded, verification is incomplete, these Terms are breached, fraud or security risk is suspected, or suspension is legally required. Where reasonable, we will provide notice and an opportunity to remedy.
Either party may terminate as allowed by the applicable plan or these Terms. Upon termination, rights to use the Service cease. The Customer should export required information before termination. We may delete or anonymise Customer Data after a reasonable post-termination period, subject to backups, legal retention and outstanding disputes.
Provisions intended by nature to survive—including payment obligations, intellectual property, confidentiality, disclaimers, liability, indemnity and dispute provisions—will survive termination.
16. Confidentiality
Each party may receive non-public information that a reasonable person would understand to be confidential. The receiving party will use it only for the relationship, protect it with reasonable care and disclose it only to persons who need it and are bound by appropriate obligations. Confidentiality does not cover information independently developed, lawfully received without restriction, publicly available without breach, or required to be disclosed by law.
17. Disclaimers
To the maximum extent permitted by law, the Service is provided “as is” and “as available”. WarpTasks disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation. We do not warrant that task records, reports, reminders, notifications or integrations will be complete, legally sufficient or suitable as the sole basis for business, employment, safety or compliance decisions.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
18. Limitation of liability
To the maximum extent permitted by law, WarpTasks will not be liable for indirect, incidental, special, exemplary, punitive or consequential loss; lost profits, revenue, goodwill or anticipated savings; business interruption; or loss or corruption of data arising from use of or inability to use the Service.
WarpTasks’ aggregate liability arising from the Service will not exceed the subscription fees actually paid by the affected Customer to WarpTasks during the three months immediately preceding the event giving rise to the claim. This limitation does not apply to liability that cannot be limited under applicable law.
19. Customer indemnity
To the extent permitted by law, the Customer will defend and indemnify WarpTasks against third-party claims, damages, penalties and reasonable costs arising from Customer Data, unlawful or unauthorised use, violation of these Terms, infringement of third-party rights, or the Customer’s failure to provide required workplace notices or permissions. WarpTasks will provide reasonable notice and cooperation, and the Customer may not settle a claim in a manner admitting liability for WarpTasks without consent.
20. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Before commencing formal proceedings, the parties will attempt in good faith for at least 30 days to resolve the dispute through written communication sent to info@warptasks.com. Subject to mandatory law, courts of competent jurisdiction in India will have jurisdiction.
21. General provisions
- Electronic communications: You consent to receive agreements, invoices, notices and service communications electronically.
- Assignment: The Customer may not assign these Terms without written consent. WarpTasks may assign them in connection with a reorganisation, financing, merger or sale of business.
- Force majeure: Neither party is liable for delay caused by events beyond reasonable control, except payment obligations already due.
- Severability: If a provision is unenforceable, it will be limited to the minimum necessary and the remainder will continue.
- Waiver: Failure to enforce a provision is not a waiver.
- Entire agreement: These Terms, the Privacy Policy, selected plan and any written order form constitute the agreement concerning the Service.
- Changes: We may update these Terms prospectively. Material changes will receive reasonable notice where practicable. Continued use after the effective date constitutes acceptance, subject to applicable law.
